CollegioDx Platform Terms of Service

These Platform Terms of Service ("Terms") are a binding agreement between Trustqed Social Private Limited (CIN U58199UP2023PTC186306), a company incorporated under the Companies Act, 2013 with its registered office at Flat 10052, Tower 10, Plot No. GH-01A, ATS One Hamlet, Sector 104, Baraula, Dadri, Gautam Buddha Nagar 201304, Uttar Pradesh, India, trading as "CollegioDx" ("CollegioDx", "we", "us"), and the healthcare organisation on whose behalf these Terms are accepted (the "Organisation", "you"). The Data Processing Agreement (dpa-v1.2-2026-09) forms part of these Terms.

2. Acceptance and authority

2.1 The individual who accepts these Terms represents that they are an owner, partner, director or other person authorised to bind the Organisation, and that the Organisation has read these Terms and the Data Processing Agreement.

2.2 Each Authorised User separately accepts the CollegioDx User Terms. The Organisation is responsible for the acts and omissions of its Authorised Users and for removing access when a person leaves.

2.3 Acceptance is recorded electronically together with the version accepted, the date and time, and the network address from which it was given. This record is a valid electronic record under the Information Technology Act, 2000.

3. The Service and clinical responsibility

3.1 CollegioDx is practice-management and clinical-documentation software with clinical-decision-support features. CollegioDx does not practise medicine, diagnose, prescribe or treat.

3.2 Every clinical output of the Service, including any text generated or suggested by artificial-intelligence features, voice dictation, reference data, drug-interaction checks, and templates, is a draft for the professional judgement of an RMP. The RMP who signs a record is its author and bears full professional responsibility for it. No clinical output reaches a patient unless an RMP has reviewed and signed it.

3.3 Reference data in the Service (including medicine, laboratory, procedure and condition masters, SNOMED CT, LOINC, WHO ATC and interaction information) is provided for convenience, may be incomplete or out of date, and must be verified by the RMP before reliance.

3.4 The Service is not designed for emergencies and is not a substitute for in-person examination. CollegioDx has been assessed as not being a medical device under Indian law.

4. Free service, and how it is funded

4.1 The Service is provided free of charge. The Organisation acknowledges that CollegioDx funds the Service through (a) the licensing of de-identified, aggregated datasets as described in clause 9 of the Data Processing Agreement, and (b) clearly labelled sponsored content shown within the Service. The Organisation's acceptance of these Terms and the Data Processing Agreement is what it gives in return for the Service.

4.2 CollegioDx may introduce optional paid features on not less than thirty (30) days' notice. No feature that is free on the date of acceptance will become chargeable to the Organisation without a material change to these Terms that the Organisation has re-accepted.

4.3 Usage limits and fair-use quotas may apply and will be shown in the Service.

5. The Organisation's obligations

The Organisation shall:

(a) use the Service lawfully and only for the delivery and administration of healthcare; (b) ensure that every person who signs clinical records is an RMP with a valid registration, and that every Authorised User holds the qualifications the law requires for the functions they perform; (c) hold and maintain any registration, licence or facility identifier required for its practice, including registration in the ABDM Health Facility Registry where it uses ABDM features; (d) as the data fiduciary for Patient Data, give patients the notice and obtain the consent that the Digital Personal Data Protection Act, 2023 ("DPDP Act") and the ABDM Health Data Management Policy require, before Patient Data is entered into the Service; (e) enter only data it has the right to process, and keep it accurate; (f) comply with the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations, 2002, the Uniform Code for Pharmaceutical Marketing Practices, 2024, the Telemedicine Practice Guidelines, 2020 where applicable, and all other laws applicable to its practice; (g) keep credentials confidential, not share logins, and report any suspected compromise without delay; and (h) not scrape, reverse engineer, resell, sublicense or provide the Service to third parties, and not use the Service to build a competing product.

6. Acceptable use

The Organisation shall not, and shall ensure that its Authorised Users do not, upload malicious code, attempt to gain unauthorised access to any system or data, interfere with the Service, use automated means to extract data except through documented export features, or use the Service in any way that infringes the rights of others.

7. Data ownership and intellectual property

7.1 As between the parties, the Organisation owns Patient Data. CollegioDx processes Patient Data only as the Organisation's data processor under the Data Processing Agreement.

7.2 CollegioDx owns the Service, its software, designs, templates, reference data compilations, and all de-identified, aggregated data derived under clause 9 of the Data Processing Agreement. The Organisation receives a limited, non-exclusive, non-transferable licence to use the Service for the term of these Terms.

7.3 The Organisation grants CollegioDx a licence to host, copy, transmit and display Patient Data and content the Organisation uploads, solely to provide the Service.

8. Term, termination, and return of data

8.1 These Terms start on acceptance and continue until terminated.

8.2 The Organisation may terminate at any time by requesting deletion of its organisation in the Service or by written notice to support@trustqed.com.

8.3 CollegioDx may suspend or terminate the Organisation's access with immediate effect if the Organisation materially breaches these Terms, if required by law or a regulator, or if continued access would create a security or legal risk. CollegioDx may otherwise withdraw the Service on not less than ninety (90) days' notice.

8.4 For thirty (30) days after termination the Organisation may export its Patient Data using the Service's export functions or by request. Within ninety (90) days after that period CollegioDx will delete Patient Data, except where retention is required by law (including medical-record retention rules and ABDM obligations), in which case it will be retained only for that purpose and then deleted.

8.5 Clauses 3, 7, 9, 10, 11 and 12, and the Data Processing Agreement to the extent it concerns retained data, survive termination.

9. Warranties and disclaimers

9.1 CollegioDx warrants that it will provide the Service with reasonable skill and care and in accordance with the Data Processing Agreement.

9.2 Except as stated in clause 9.1, the Service is provided "as is" and "as available". CollegioDx does not warrant that the Service will be uninterrupted, error-free or free from harmful components, that data will be accurate or complete, or that the Service will meet the Organisation's requirements. No service level is offered for the free Service; CollegioDx will use commercially reasonable efforts to keep it available and will give notice of planned maintenance where practicable.

9.3 CollegioDx is not responsible for the availability or conduct of the ABDM gateway or the National Health Authority, telecom operators, messaging providers (including WhatsApp), cloud providers or any other third party, or for the accuracy of data received from them.

9.4 CollegioDx does not provide medical services. It is not liable for any claim arising from the diagnosis, treatment, advice, prescription or care given by any practitioner or by the Organisation, including any claim of malpractice, negligence or deficiency of service. Such claims lie between the patient and the practitioner or Organisation concerned.

10. Limitation of liability

10.1 Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited by law.

10.2 Subject to clause 10.1, CollegioDx shall not be liable for any loss of profit, revenue, business or goodwill, loss or corruption of data (beyond restoring the most recent available backup), or any indirect or consequential loss, however arising.

10.3 Subject to clauses 10.1 and 10.2, and because the Service is provided free of charge and we cannot insure an unlimited exposure on it, the total liability of CollegioDx to the Organisation under or in connection with these Terms in any twelve-month period shall not exceed INR 10,000 (ten thousand rupees), except that in respect of a breach by CollegioDx of its obligations under the Data Processing Agreement that is directly caused by CollegioDx's own failure to implement the security measures it has committed to, the limit shall be INR 5,00,000 (five lakh rupees).

10.4 Claims must be brought within twelve (12) months of the event giving rise to them.

11. Indemnity

11.1 The Organisation shall indemnify and hold harmless CollegioDx, its directors, officers and employees from all claims, losses, damages, penalties and costs (including reasonable legal costs) arising from: (a) the practice of medicine or provision of healthcare by the Organisation or its Authorised Users, including any claim by a patient; (b) any person signing clinical records without a valid registration; (c) any failure to give notice to or obtain consent from patients, or any other breach of the DPDP Act or ABDM rules by the Organisation; (d) misuse of the Service or breach of these Terms by the Organisation or its Authorised Users; or (e) content or data the Organisation uploads.

11.2 CollegioDx shall indemnify the Organisation against third-party claims that the Service, as provided by CollegioDx and used in accordance with these Terms, infringes an Indian intellectual-property right, subject to the limits in clause 10.

11.3 The Organisation shall notify CollegioDx in writing at support@trustqed.com within seven (7) days of becoming aware of any claim, complaint, notice or proceeding by a patient, regulator or other third party that concerns the Service or data held in it. The Organisation shall not admit liability on CollegioDx's behalf and shall allow CollegioDx to participate, at its own cost, in the defence and settlement of any such matter. Where the indemnity in clause 11.1 applies, CollegioDx may take over the defence and the Organisation shall give reasonable cooperation.

12. Sponsored content and industry relationships

12.1 The Service includes clearly labelled sponsored medical-education content and product information from healthcare industry partners. Such content is selected by the context of the screen and by practice-level attributes recorded in the Organisation's settings (such as specialty, departments and location), not by any individual practitioner's profile or prescribing. Should CollegioDx ever select sponsored content using an individual's personal data, it will first obtain that individual's separate consent.

12.2 Sponsored content is never an endorsement by CollegioDx and never influences the clinical functions of the Service, including medicine search, dictation, prescription drafting and interaction checks.

12.3 No gift, travel, hospitality, cash equivalent or other personal benefit to any healthcare professional is offered or facilitated through the Service. Sponsors are responsible for the compliance of their content with the Uniform Code for Pharmaceutical Marketing Practices, 2024 and the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954.

13. Changes to these Terms

13.1 CollegioDx may amend these Terms. A material amendment takes effect only after an owner of the Organisation has accepted the new version, and CollegioDx will give at least thirty (30) days' notice in the Service before requiring re-acceptance. Editorial amendments that do not reduce the Organisation's rights take effect on publication with notice in the Service.

14. General

14.1 Governing law and disputes. These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed by mutual agreement, or failing agreement within thirty days, in accordance with that Act. The seat of arbitration shall be Gautam Buddha Nagar, Uttar Pradesh (hearings may by agreement be held in New Delhi) and the language English. Subject to the foregoing, the courts at Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction, including for interim relief and for any matter that cannot be referred to arbitration.

14.2 Notices. Notices to CollegioDx must be sent to support@trustqed.com or to the registered office above. Notices to the Organisation may be given in the Service or to the e-mail address of any owner.

14.3 Grievances. The Grievance Officer is named on the CollegioDx Privacy page and may be contacted at support@trustqed.com.

14.4 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including failure of the ABDM gateway, telecom networks, cloud infrastructure, power, or acts of government.

14.5 Assignment. The Organisation may not assign these Terms without consent. CollegioDx may assign them to a successor of its business on notice.

14.6 Entire agreement. These Terms and the Data Processing Agreement are the entire agreement between the parties on their subject matter and supersede any earlier understanding. If any provision is held invalid, the remainder continues in effect.
